Greetings All,
Yet another summer has come and gone, and hunting season is upon us. This is an important time of year for a large portion of our membership. Please be careful out there and make Mr. Dave Budnick proud by incorporating the
conservation principles he shared through his teachings and reports to the Club.
I am also very pleased to report that our new Treasurer, Mr. Chris Collins, has hit the ground running. After participating in several meetings with Chris, I can report that the Club is very close to establishing an operating budget for the first time. This will be a significant accomplishment for OCSC and its membership.
An operating budget will help us better understand where our operating revenue originates, how and when expenses are incurred, and what reserves must be maintained for the future repair and maintenance of our buildings and grounds. This is an important step toward stronger financial planning and greater transparency.
Turning to Club business, I would like to inform the membership of a recent governance decision. To continue operating in accordance with OCSC’s governing documents, and following the required governance procedures, the Executive Board and Board of Directors have determined through formal votes that Waterford Hills Road Racing, Inc. and the Michigan Midget Racing Association do not meet the requirements for recognition as OCSC SubClubs. Accordingly, they will be recognized as lease tenants rather than OCSC SubClubs.
What exactly does that mean?
WHRRI and MMRA are separately organized entities that have leased portions of OCSC property for many years. Each organization manages its own operations and is governed by the terms of its lease with OCSC. Simply put, they pay rent, operate under their own governing structure, and comply with their respective lease obligations.
Each organization establishes its own membership requirements, including any requirement that its members also maintain an OCSC membership. Those are rules of WHRRI and MMRA—not requirements imposed by OCSC upon everyone who participates in events at either venue.
An individual does not have to be a member of WHRRI or MMRA to race in that organization’s events. Likewise, participating in those events does not require the individual to become an OCSC member. Nonmembers may not receive the discounts or other benefits offered to members of the respective organization, but they may still
participate in its racing events.
Going forward, WHRRI and MMRA will no longer receive representation on the OCSC Board of Directors based upon SubClub status or participate in Board matters through designated SubClub representatives.
One important clarification is necessary: individuals affiliated with WHRRI or MMRA who are also OCSC members remain welcome and encouraged to attend General Membership meetings and participate fully in OCSC affairs. Their individual OCSC membership rights are unchanged, and they continue to be represented through the general membership category.
They may also seek an available general-membership position on the Board of Directors, provided they meet all
applicable eligibility requirements established by the OCSC Constitution & Bylaws and Processes & Procedures. If elected, their fiduciary responsibility as directors would be to OCSC—not to WHRRI or MMRA.
Our President, Michael Graham, has previously cautioned members about rumors. This governance clarification does
not terminate or modify the existing leases, nor does it interfere with the normal operations of either organization.
OCSC remains legally obligated to honor those leases, just as WHRRI and MMRA must comply with their respective
obligations under them.
Simply stated, this decision properly identifies WHRRI and MMRA as lease tenants rather than OCSC SubClubs. Their operations continue, their leases remain in effect, and the individual OCSC membership rights of their members remain unchanged. For both organizations, it remains business as usual.
